AGREEMENT BETWEEN CUSTOMER AND BUSINESS-CLASS.COM

Welcome to the BUSINESS-CLASS.COM – HOTELS website (the "Website"). The terms "we", "us", "our", “Business-Class” or "Business-Class Hotels" refer to Business Travel Group LLC, a Delaware limited liability company (EIN: 82-5282148) with registered address at 500 E Broward Blvd, Suite 1350, Fort Lauderdale, FL 33394. The term "you" refers to the customer visiting the Website and/or booking a reservation through us on this Website, or through our customer service agents.

Your use of this Website is conditioned upon your acceptance without modification of all the terms, conditions, and notices set forth below (collectively, the "Terms” or "Agreement"). Please read these Terms carefully, as they contain important information about limitations of liability and resolution of disputes through arbitration rather than in court. You should also read our Privacy Policy, which also governs your use of the Website, and is incorporated by reference in this Agreement. By accessing or using this Website, booking any reservations for travel products or services, or contacting our call center agents, you agree that the Terms then in force shall apply. If you do not agree to these Terms, you must not use this Website or book any reservations through this Website or our call center agents.

SCOPE OF OUR SERVICES

A. Accommodation Reservation Facilitation

Through the Website, Business-Class Hotels provides an online platform through which you can browse different types of lodging and temporary accommodation, including but not necessarily limited to hotels, hostels, serviced apartments, B&Bs, rooms for rent, cottages, etc. (collectively, the “Accommodation(s)”) and make reservations with such Accommodations, including already making payment for such reservations of Accommodations in advance with a credit card, debit card, e-wallet, or such other payment method to facilitate the processing of such payment (“Payment Instrument”). By making a booking through the Website for the Accommodation, you make an offer to book a reservation at the price listed for such reservation and such other terms and conditions stated on the Website. You will receive proof of the confirmed Accommodation booking via an e-mail confirmation (with a voucher for prepaid Accommodations),which means the reservation has been confirmed by the Accommodation. We reserve the right to reject bookings.

When rendering our services, the information that we disclose about Accommodations is based on the information provided to us by our suppliers or providers (including but not necessarily limited to the Accommodations, their representatives, distributors, destination management companies (DMCs), channel managers, partners, etc.). As such, the Accommodations or their representatives are given access to an extranet or other connectivity solution through which they are fully responsible for updating all rates, availability, description, pictures, booking conditions, accommodation policies and other information which is displayed on the Website. Although we will use commercially reasonable skill and care in performing our services, we will not verify if, and cannot guarantee that, all information is accurate, complete, correct or up to date, nor can we be held responsible for any errors (including manifest and typographical errors), interruptions (whether due to any (temporary and/or partial) breakdown, repair, upgrade or maintenance of the Website or otherwise), inaccurate, misleading or untrue information or non-delivery of information. Each Accommodation remains responsible at all times for the accuracy, completeness and correctness of the Accommodation information displayed on the Website. Changes in market conditions or circumstances may occur on short notice, which may make information displayed on the Website inaccurate or outdated. In case of problems, our Concierge department will use its commercially reasonable efforts to assist you. Business-Class is not liable for any costs incurred due to hotel relocation.

USE OF THE WEBSITE

As a condition of your use of this Website, you warrant that:

you are at least 18 years of age;
you possess the legal authority to create a binding legal obligation;
you will use this Website in accordance with these Terms of Use;
you will only use this Website to make legitimate reservations for you or for another person for whom you are legally authorized to act;
you will inform such other persons about the Terms of Use that apply to the reservations you have made on their behalf, including all rules and restrictions applicable thereto;
all information supplied by you on this Website is true, accurate, current and complete; and

We retain the right at our sole discretion to deny access to anyone to this Website and the services we offer, at any time and for any reason, including, but not limited to, for violation of these Terms of Use. We may update and/or change our Website at any time to reflect changes to our services, our users’ needs and our business priorities.

This Website does not constitute and should not be regarded as a recommendation or endorsement of (the quality, service level or rating of) any Accommodation listed on the Website. We hereby expressly disclaim any representation, warranty or undertaking in relation to the quality, status or adequacy of any Accommodation listed on the Website.

To the extent permitted by applicable law, we reserve the right to, and our discretion, refuse or cancel bookings in exceptional cases and will notify you of the refusal or cancellation by email to the address you provided when you made your booking. Typical reasons for rejecting or canceling a booking include, but are not limited to: Accommodation request(s), actual or suspected reselling of Accommodations booked through the Website on an individual or mass basis without our prior written approval (“Reselling”), breach of the Terms of Use, force majeure events, trade or economic sanctions, embargoes, legal restrictions, (suspicions of) fraud or theft, suspected criminal activity, suspicious bookings, submission by you of misleading or erroneous information, Payment Instrument problems, inappropriate behavior, threats, insults, violence, refusal to supply information, practical obstacles, communication problems, obvious errors (see below), history, blacklisting by governments or international organizations, etc. If your booking is rejected or canceled by us and a payment has already been made, you will receive a refund of the total booking value, (except in the case of unauthorized Reselling or in any other appropriate case such as unauthorized use of the Site or there is an inappropriate manner in the use of the Site, and such use is harmful to us for which the refund of the total booking value or any part thereof is not justifiable). Refunds will not be issued in the event of unauthorized Reselling due to many negative factors including the disadvantage such practice imposes on our authorized and contracted affiliate partners, Accommodations who provide us with inventory on a contracted and trusted basis and the loss and negative brand impact caused to us due to unauthorized Resellers attempting to undercut our business which may include placing the resold inventory on sites run by competitors of Business Class without our knowledge. We also reserve the right to bar (“blacklist”) users from the Website, on a permanent or temporary basis, at our discretion. Any such blacklisted user must not attempt to use the Website under any other name or through any other user.

COMPLAINTS; DISPUTES; ARBITRATION

Business-Class is committed to customer satisfaction, however, if you have complaints about our service, you can contact our Concierge department at concierge@business-class.com or calling (888) 683-8737. We will do our very best to help you. Please note that any complaints about the Accommodation (policies, standards, service, facilities, decoration, food, etc.) are ultimately a matter for the Accommodation. We may coordinate directly with the Accommodation to try and find a mutually agreeable solution but we cannot guarantee a satisfactory outcome.

If you have a dispute, we will try to resolve your concerns. However, if we are unsuccessful, you or we may pursue claims as explained in this section. To give us an opportunity to resolve informally any disputes between you and us arising out of or relating in any way to the Website, these Terms of Use, our Privacy Policy, any services or products provided, any dealings with our Concierge agents, or any representations made by us (“Claims”), you agree to communicate your Claim to Business-Class by contacting the Business-Class Concierge department at concierge@business-class.com or calling (888) 683-8737. You agree not to bring any suit or to initiate arbitration proceedings until 60 days after the date on which you communicated your Claims to the Business-Class Concierge department have elapsed. If we are not able to resolve your Claims within 60 days, you may seek relief through arbitration or in small claims court, as set forth below.

You and Business-Class agree that any and all Claims will be resolved by binding arbitration, rather than in court, except that you and we may assert Claims on an individual basis in small claims court if they qualify. This includes any Claims you assert against us, our, travel suppliers or any companies offering products or services through us (which are beneficiaries of this arbitration agreement). This also includes any Claims that arose before you accepted these Terms, regardless of whether prior versions of the Terms required arbitration.

There is no judge or jury in arbitration, and court review of an arbitration award is limited. However, an arbitrator can award on an individual basis the same damages and relief as a court (including statutory damages, attorneys’ fees and costs).The arbitrator must follow and enforce these Terms.

Arbitrations will be conducted by the American Arbitration Association (AAA) under its rules, including the AAA Consumer Rules. Payment of all filing, administration and arbitrator fees will be governed by the AAA's rules, except as provided in this section. If your total Claims seek less than $10,000, we will reimburse you for filing fees you pay to the AAA and will pay arbitrator’s fees.

Any and all proceedings to resolve Claims will be conducted only on an individual basis and not in a class, consolidated, or representative action. The arbitrator will have authority to decide issues as to the scope of this arbitration agreement and the arbitrability of Claims. If for any reason a Claim proceeds in court rather than in arbitration, you and we each waive any right to a jury trial.

To begin an arbitration proceeding, you must send a letter requesting arbitration and describing your Claims to Business Travel Group LLC, a Delaware limited liability company at 764 S. Military Trail, Deerfield Beach, Florida 33442. If we request arbitration against you, we will give you notice at the email address or street address you have provided. The AAA's rules and filing instructions are available at www.adr.org or by calling 1-800-778-7879.

This arbitration agreement shall be governed by and enforced in accordance with the Federal Arbitration Act and federal arbitration law. An arbitration decision may be confirmed by any court with competent jurisdiction.

PROHIBITED ACTIVITIES

The content and information on this Website (including, but not limited to, price and availability of travel services) as well as the infrastructure used to provide such content and information, is proprietary to us or our suppliers and providers. While you may make limited copies of your travel itinerary (and related documents) for travel or service reservations booked through this Website, you agree not to otherwise modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell or re-sell any information, software, products, or services obtained from or through this Website. Additionally, you agree not to:

use this Website or its contents for any commercial purpose;
make any speculative, false, or fraudulent reservation or any reservation in anticipation of demand;
access, monitor or copy any content or information of this Website using any robot, spider, scraper or other automated means or any manual process for any purpose without our express written permission;
violate the restrictions in any robot exclusion headers on this Website or bypass or circumvent other measures employed to prevent or limit access to this Website;
take any action that imposes, or may impose, in our discretion, an unreasonable or disproportionately large load on our infrastructure;
deep—link to any portion of this Website (including, without limitation, the purchase path for any travel services) for any purpose without our express written permission;
or "frame", "mirror" or otherwise incorporate any part of this Website into any other website without our prior written authorization.

If your booking or account shows signs of fraud, abuse or suspicious activity, we may cancel any travel or service reservations associated with your name, email address, and close any associated. If you have conducted any fraudulent activity, we reserve the right to take any necessary legal action and you may be liable for monetary losses to us, including litigation costs and damages. To contest the cancellation of a booking or freezing or closure of an account, please contact Business-Class Concierge department.

PRIVACY POLICY

Business-Class believes in protecting your privacy. Please review our current Privacy Policy, which also applies to your use of the Website and is incorporated by reference.

TAXES AND FEES

In connection with facilitating your Accommodation transaction, the charge to your Payment Instrument may include a charge for taxes and fees (“Taxes and Fees”) unless indicated otherwise. In relation to Accommodations, this charge includes an estimated amount to recover the amount Business-Class pays to the Accommodation in connection with your reservation for taxes owed by the Accommodation including, without limitation, sales and use tax, occupancy tax, room tax, excise tax, value added tax and/or other similar taxes. In certain locations, the tax amount may also include government-imposed service fees or other fees not paid directly to the taxing authorities but required by law to be collected by the Accommodation. The amount paid to the Accommodation in connection with your reservation for taxes may vary from the amount we estimate and include in the charge to you. The balance of the charge for Taxes and Fees, if any, is a fee Business-Class retains as part of the compensation for our services and to cover the costs of your reservation, including, for example, Concierge service costs. If the balance is negative, Business-Class will absorb such difference. The charge for Taxes and Fees varies based on a number of factors including, without limitation, the amount Business-Class pays the Accommodation and the location of the Accommodation where you will be staying, and may include profit that Business-Class retains.

Our Accommodation suppliers, as vendors, include all applicable taxes in the amount billed and Business-Class pays over such amounts directly to the vendors. Business-Class is not a co-vendor associated with the vendors with whom we book or reserve your travel arrangements. Taxability and the appropriate tax rate and the type of applicable taxes vary greatly by location.

For transactions involving Accommodations located within certain jurisdictions, the charge to your Payment Instrument for Taxes and Fees includes a payment of tax that Business-Class is required to collect and remit to the jurisdiction for tax owed on amounts Business-Class retains as compensation for services.

For reservations where you need to pay at the Accommodation, the price may or may not include taxes and fees. Please verify the booking conditions and your confirmation mail or voucher or contact our Concierge department.

In some locations, Accommodations may be required by local law to charge and collect city, bed, tourist occupancy or equivalent taxes directly. You may cancel or change your Accommodation reservation, but you will be charged the cancellation or change fee indicated in the rules and restrictions for the Accommodation reservation. If you do not cancel or change your reservation before the cancellation policy period applicable to the Accommodation you reserved, which varies by Accommodation (usually 24 to 72 hours) prior to your date of arrival, you will be subject to a charge equal to applicable nightly rates, tax recovery charges and service fees. In the event you do not show for the first night of the reservation and plan to check-in for subsequent nights in your reservation, you must confirm the reservation changes with us no later than the date of the first night of the reservation to prevent cancellation of your reservation.

You agree to pay any cancellation or change fees that you incur. In limited cases, some Accommodations do not permit changes to or cancellations of reservations after they are made, as indicated in the rules and restrictions for the Accommodation reservation.

Some Accommodations may require you to present a credit card or cash deposit upon check-in to cover additional expenses incurred during your stay. Such deposit is unrelated to any payment received by Business-Class for your Accommodation booking.

PAY NOW OR PAY LATER DETAILS

With certain Accommodations, you may be presented with the option to pay online now or pay later at the Accommodation. If you select the “Pay Online Now” option, Business-Class will charge the amount to your credit card in US dollars immediately. Tax rates and foreign exchange rates could change in the time between booking and stay.

CREDIT CARD PAYMENTS

Payment by credit card is accepted. In order to process a payment by credit card, you may be required to verify certain information.

Some banks and credit card companies impose fees for international or cross border transactions. For instance, if you are making a booking using a US-issued card with a non-US merchant, your bank may charge you a cross border or international transaction fee. Furthermore, booking international travel may be considered an international transaction by your bank or card company, since we may pass your card details to an international travel supplier to be charged. In addition, some banks and card companies impose fees for currency conversion. For instance, if you are making a booking in a currency other than the currency of your credit card, your credit card company may convert the booking amount to the currency of your credit card and charge you a conversion fee. The currency exchange rate and foreign transaction fee is determined solely by your bank on the day that they process the transaction. If you have any questions about these fees or the exchange rate applied to your booking, please contact your bank.

In the event of Payment Instrument fraud or unauthorized use of your Payment Instrument by third parties, you should contact your bank or card issuer immediately upon becoming aware of such unauthorized use. If you suspect an unauthorized or fraudulent booking was made via Business-Class, please contact our Concierge department immediately.

In order to make a booking you must be over 18 years old (or such other age at which majority is reached in your country or territory) and have the full legal capacity to make the transaction (or have the authorization to do so from your legal guardian). You undertake that the Payment Instrument you are using is your own or that you are authorized to complete the booking with this Payment Instrument and that there are sufficient funds to cover the cost of the transaction. You accept financial responsibility for all transactions made under your name or account.

You undertake that the details you provide us with in making a booking are fully correct. Business-Class reserves the right not to accept certain Payment Instruments. We may add or remove other payment methods at our discretion.

In certain cases, we may require additional information or verifications to validate and confirm the booking, as explained in more detail on the Website. A small verification charge or pre-authorization may also be made to your card. The balance will be charged after confirmation or on the future payment date. Reservations are not confirmed until you have received a confirmation email and it is possible that an Accommodation could become fully booked during the fraud check, in which case the reservation will no longer be available. Business-Class can never be held liable in such cases. Additional information submitted will be treated in line with strict industry standards to protect privacy. If you choose not to submit the additional information or if we are not satisfied with the information received, the booking will be cancelled because it is incomplete and any amounts charged (including the verification charge where applicable) will be refunded.

CURRENCY CONVERTER

If a currency convertor is available on the Website, the following terms and conditions apply:

Currency rates are based on various publicly available sources and should be used as guidelines only. Rates are not verified as accurate, and actual rates may vary. Currency quotes are not updated every day. Check the date on the currency converter feature for the day that currency was last updated. The information supplied is believed to be accurate, but Business-Class does not warrant or guarantee such accuracy. When using this information for any financial purpose, we advise you to consult a qualified professional to verify the accuracy of the currency rates. We do not authorize the use of this information for any purpose other than your personal use and you are expressly prohibited from the resale, redistribution, and use of this information for commercial purposes.

TRAVEL ADVISORY

You are responsible for ensuring that you meet foreign entry requirements and that your travel documents, such as passports and visas (transit, business, tourist, and otherwise), are in order and any other foreign entry requirements are met. Business-Class has no special knowledge regarding foreign entry requirements or travel documents. We urge customers to review travel prohibitions, warnings, announcements, and advisories issued by the relevant governments prior to booking travel to international destinations.

Business-Class cannot be held liable for any loss incurred in the event of your failure to hold the necessary passports, visas and documentation for your journey. You are advised to check with the relevant embassies, consulates and/or visa departments of the countries you wish to visit. It is your responsibility to obtain whatever travel documents are required.

Health: Recommended inoculations for travel may change and you should consult your doctor for current recommendations before you depart. It is your responsibility to ensure that you meet all health entry requirements, obtain the recommended inoculations, take all recommended medication, and follow all medical advice in relation to your trip.

DISCLAIMERS

We do not in any way (directly or indirectly, independently or in conjunction with any party) own, manage, operate or control the Accommodations, or any room in such Accommodations. The Accommodations are liable and responsible for providing accommodation services and welcoming people who have booked through the Site as their guests.

The information, software, products and services published on this Website may include inaccuracies or errors, including pricing errors. In particular, Business-Class does not guarantee the accuracy of, and disclaims all liability for any errors or other inaccuracies relating to the information and description of the hotel and other travel products and services displayed on this Website (including, without limitation, the pricing, photographs, list of hotel amenities, general product descriptions, etc.). In addition, Business-Class expressly reserves the right to correct any pricing errors on our Website and/or reservations made under an incorrect price. In such event, if available, we will offer you the opportunity to keep your reservation at the correct price or we will cancel your reservation without penalty.

We do not guarantee that our Website, or any content on it, will always be available or be uninterrupted. We may suspend, withdraw, or restrict the availability of all or any part of our Website for business and operational reasons. We will try to give you reasonable notice of any suspension or withdrawal.

Hotel ratings displayed on this Website, if any, are intended as only general guidelines, and Business-Class does not guarantee the accuracy of the ratings. Business-Class makes no guarantees about the availability of specific products and services.

Business-Class makes no representations about the suitability of the information, software, products and services contained on this Website for any purpose, and the inclusion or offering of any products or services on this Website does not constitute any endorsement or recommendation of such products or services by Business-Class. All such information, software products, and services are provided “as is” without warranty of any kind. Business-Class disclaims all warranties and conditions that this Website, its servers or any email sent from us are free of viruses or other harmful components. Business-Class hereby disclaims all warranties and conditions with regard to this information, software, products and services, including all implied warranties and conditions of merchantability, fitness for a particular response, title and non-infringement.

The Accommodations and other suppliers providing travel or other services on this Website are independent contractors and not agents or employees of Business-Class. Business-Class is not liable for the acts, errors, omissions, representations, warranties, breaches or negligence of any such Accommodations or suppliers or for any personal injuries, death, property damage, or other damages or expenses resulting there from. Business-Class has no liability and will make no refund in the event of any delay, cancellation, overbooking, strike, force majeure or other causes beyond our direct control, and we have no responsibility for any additional expenses, omissions, delays, re-routing or acts of any government or authority.

GENERAL LIMITATION OF LIABILITY

THE LIMITATIONS OF LIABILITY SHALL APPLY REGARDLESS OF THE FORM OF ACTION, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, EVEN IF A COVERED PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES.

A force majeure event is any event beyond the Covered Parties’ control and can include, but is not limited to, natural disasters, weather conditions, fire, nuclear incident, electro-magnetic pulse, terrorist act, riots, war, arson attacks, insurgency, rebellion, armed hostilities of any kind, labor disputes, lockouts, strikes, shortages, government actions or restraints, pilferage, bankruptcy, machinery breakdown, network or system interruptions or breakdown, internet or communications breakdown, quarantine, epidemic, pandemic etc. No responsibility is accepted for any additional expense, omissions, delays, re-routing or acts of any governmental authority. No Covered Party shall be responsible for any Accommodation’s breach of any condition or warranty including, but not limited to, implied conditions or warranties of fitness for a particular purpose or of merchantability, nor shall any Covered Party be responsible for any other wrongdoing of an Accommodation (including any liability in tort), as to any products and/or services available through the Website. Business-Class does not guarantee continuous access without interruption to the Website.

Business-Class will bear the responsibility required by relevant laws only if it is at fault for engaging in intentional or willful misconduct or it is grossly negligent in providing the relevant service. To the extent permissible pursuant to the relevant applicable laws, and without prejudice to the limitations set out in the Terms of Use, the liability of Business-Class, in the aggregate, will not exceed the lesser of (a) the aggregate cost of your reservation as set out in the confirmation email (whether for one event or series of connected events) or (b) two hundred and fifty United States dollars (or its equivalent in local currency). In case of an overcharge or mischarge caused by Business-Class, you can make a claim regarding all erroneous charges notwithstanding what is set out above.
